1. Introduction

These Terms of Service ("Terms") explain the rules for using the Equinex AI website at equinexai.com and the Equinex AI mobile application (collectively, the "Services"). The Services are operated by Equine-X LLC, a California limited liability company ("Equinex AI," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms.

If you do not agree, you may not use the Services.

These Terms cover the Equinex AI website and mobile application. As we add new services or features, we will update these Terms and notify you of material changes as described in Section 23. The Privacy Policy is incorporated into these Terms by reference.

2. Description of Service

Equinex AI is a horse care management platform designed to help horse owners manage their horses' health records, appointments, feeding schedules, ride activity, and related information. The Services may include features such as:

Appointment scheduling and reminders for veterinary, farrier, and other care providers

Feed schedule and deworming tracking

AI-powered photo and video analysis for horse health assessment, body condition scoring, and ride coaching (for informational and educational purposes only)

Notes and health records

GPS ride tracking, ride sharing, geotagged photos, and trail annotation

Account sharing, multi-user plans, and team collaboration

Multilingual support

3. Subscriptions and Payments

3.1 Subscription Plans

Equinex AI offers various subscription plans with different feature sets and limits. Subscription details and pricing are displayed within the App.

3.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled at least 24 hours before the renewal date. You will be charged through your Apple ID or Google Play account.

3.3 Cancellation

You may cancel your subscription at any time through your device's subscription settings:

iOS: Settings → [Your Name] → Subscriptions

Android: Google Play Store → Menu → Subscriptions

Cancellation will take effect at the end of the current billing period. Refunds are administered by Apple or Google in accordance with their respective policies; we do not provide refunds for partial subscription periods.

3.4 Price Changes

We reserve the right to change subscription prices. You will be notified in advance of any price changes, and the new price will apply to your next renewal period.

4. Your Account

Some features require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Not share your account

Notify us of unauthorized access

We may suspend or close accounts that violate these Terms.

5. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose

Interfere with or disrupt the Services

Try to access systems without permission

Upload malware or harmful content

Use the Services to store or transmit infringing or illegal content

Misuse or overload our systems

Resell or redistribute the Services

Impersonate others

We may investigate misuse and take appropriate action.

6. User Content

You retain ownership of any content you submit to the Services, including photos, videos, notes, horse profile information, and other materials ("User Content"). By submitting User Content, you grant Equinex AI a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, and analyze User Content solely for the purpose of providing, maintaining, and improving the Services.

We do not use your User Content to train artificial intelligence models, and the third-party AI providers we engage to process your User Content do not retain or train on your User Content.

You represent and warrant that you own or have all rights necessary to submit your User Content to the Services and to grant the license above.

7. AI Features Disclaimer

IMPORTANT: The AI-powered features in Equinex AI, including image analysis, AI-assisted ride, safety, performance, and health functionality, are provided for informational and educational purposes only. They are NOT a substitute for professional veterinary advice, diagnosis, or treatment. Always consult a qualified veterinarian for any health concerns regarding your horse.

8. GPS Ride Tracking

Your use of the real-time route tracking and ride information sharing features is at your sole risk. Location data may not be accurate. The Services are not designed to provide turn-by-turn navigation.

9. Emergency Features (Fall Detection and Help Summon) Liability Disclaimer

Equinex™ fall detection technology is patent pending (U.S. Provisional Application No. 64/067,034).

The rider Fall Detection and rider Help Summon features (the "Emergency Features") are provided for convenience only. They are not safety devices, medical devices, or emergency-response systems, and they are not guaranteed to detect every fall or trigger every alert.

You understand and agree that:

The Emergency Features may fail to detect a fall, detect a fall late, or detect a fall incorrectly.

Alerts may not be sent, received, or acted upon due to connectivity issues, including delayed or interrupted live sharing or synchronization after connectivity resumes, battery level, device settings, GPS availability, environmental conditions, or third-party service outages.

The Emergency Features may generate false positives or false negatives.

We do not guarantee that any barn, contact, or responder will receive an alert, respond to an alert, or be able to provide assistance.

We do not control the actions of barns, trainers, emergency contacts, or responders, and we are not responsible for their availability, response times, or conduct.

The Emergency Features are not a substitute for safe riding practices, supervision, emergency preparedness, or professional medical or rescue services.

10. Not a Safety Device

The Services are not a safety system and do not replace:

Supervision

Safe riding practices

11. Third-Party Emergency Contacts

When you provide emergency contact information for a third party (including a phone number or email address), you represent and warrant that:

You have that person's permission to share their contact information with us

You have informed them that they may receive automated messages from Equinex AI on your behalf, including in the event of a triggered alert

You will remove their contact information from your account if they withdraw consent or ask you to

You are solely responsible for any claims arising from messages sent to emergency contacts you have added to your account.

12. Intellectual Property

All content, trademarks, and materials in the Services, other than User Content, belong to us or our licensors. You may not copy, modify, or distribute them without permission.

13. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

14. Third-Party Services

The Services may use third-party tools such as:

Crash reporting

Push notifications

AI processing

We are not responsible for third-party content or actions.

15. Eligibility

To use the Services, you must:

Be at least 13 years old (or 16 years old if you access the Services from the European Union or United Kingdom), and

If under 18, have permission from a parent or guardian.

16. Warranty Disclaimer

The Services are provided "as is" and "as available."

We do not guarantee:

That the Services will always work

That they will be error-free

That data will be available at all times

That notifications will always be delivered

You use the Services at your own risk.

17. SMS Text Alerts

By providing your mobile phone number and opting in on our website or in our app, you agree to receive SMS or MMS text messages from us, including account notifications, service updates, ride sharing alerts, emergency contact alerts (if you enable Emergency Features), and other messages you choose to receive. Message frequency varies based on your interactions with our services.

Consent is not a condition of purchase. Your decision to opt in is entirely voluntary and not required to use our services.

Message and data rates may apply. Check with your mobile carrier for details.

You can opt out at any time. To stop receiving messages, reply STOP to any message we send. After you send STOP, we may send a confirmation message to verify your opt-out.

For help, reply HELP.

Carriers are not liable for delayed or undelivered messages.

You must be the current subscriber or customary user of the phone number you provide.

By opting in, you confirm that you are 13 years of age or older (or the age required by applicable law for consent to communications).

We may update or change our messaging program at any time, and we will notify you of material changes as required by law.

18. Limitation of Liability

To the fullest extent allowed by law:

We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages

Our total liability for any claim is limited to the amount you paid (if any) in the past 12 months

This includes claims related to:

Service outages

Data loss

Notification failures

Emergency Features and any missed, delayed, or false alert

Third-party integrations

Some jurisdictions do not allow certain limitations; those limits apply only where permitted.

19. Indemnification

You agree to indemnify and hold us harmless from claims arising out of:

Your misuse of the Services

Your violation of these Terms

Your User Content

Your interactions with third parties (including emergency contacts you designate)

20. Arbitration Agreement

You agree to resolve disputes through binding arbitration, not court.

20.1 Rules

Arbitration will follow the American Arbitration Association ("AAA") Consumer Arbitration Rules then in effect. The arbitration shall take place in Riverside County, California, or, at your election, in your county of residence within the United States.

20.2 Exceptions

You may bring individual claims in small-claims court, and either party may seek injunctive relief in court for intellectual property disputes.

20.3 Opt-Out

You may opt out of this Arbitration Agreement by sending written notice to support@equinexai.com within thirty (30) days of creating your account. Your notice must include your full name, the email address associated with your account, and a clear statement that you intend to opt out of this Arbitration Agreement.

You agree that disputes must be brought individually, and you waive the right to:

22. Service Changes and Termination

We may modify or discontinue the Services at any time. We may suspend or terminate accounts for violations of these Terms.

23. Governing Law and Venue

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 20 (Arbitration), the exclusive venue for any non-arbitrable dispute shall lie in the state and federal courts located in Riverside County, California, and you consent to personal jurisdiction in those courts.

24. App Store Terms

If you obtained the App through the Apple App Store or Google Play Store:

These Terms are between you and Equine-X LLC, not Apple, Inc. or Google LLC

Apple and Google have no responsibility for the App or its content

Apple and Google have no obligation to provide maintenance or support for the App

In the event of any failure of the App to conform to any applicable warranty, you may notify the applicable store operator, which will refund the purchase price (if any); Apple and Google have no further warranty obligations with respect to the App

Apple and Google are third-party beneficiaries of these Terms with respect to your use of the App, and may enforce these Terms against you

25. Changes to These Terms

We may update these Terms periodically. If changes are significant, we will notify you through the app, by email to your address of record, or by other reasonable means. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.

26. General Provisions

26.1 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

26.2 Entire Agreement

These Terms, together with the Privacy Policy and any other terms we present in the Services, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

26.3 No Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision.

26.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

26.5 Notices

We may provide notices to you through the Services or by email to your address of record. You must provide notices to us at support@equinexai.com.

26.6 Force Majeure

We will not be liable for any failure or delay in performance caused by events outside our reasonable control, including natural disasters, acts of war or terrorism, civil unrest, government action, network or power outages, or third-party service failures.
